7) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KEYLINK LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYLINK LLC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED $100.

8) Indemnification

You agree to indemnify, defend, and hold harmless Keylink LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or your violation of these Terms.

9) Termination

We may suspend or terminate access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms or if we discontinue the Site.

10) Changes to These Terms

We may update these Terms from time to time. If we make changes, we will update the “Last updated” date. Your continued use of the Site after changes become effective means you accept the updated Terms.

11) Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts.

12) Miscellaneous

  • If any provision is found unenforceable, the remaining provisions will remain in effect.

  • Our failure to enforce any right is not a waiver.

  • You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
